These Terms of Use explain the rules for using the Praxday marketing website, joining the beta waitlist, and reviewing early product materials shown on the site.
1. Agreement to these Terms
By using the Praxday website or submitting the beta waitlist form, you agree to these Terms of Use and our Privacy Policy. If you do not agree, do not use the website or submit the form.
This page is a draft for review by a qualified Canadian privacy/technology lawyer. It is not legal advice and has not received legal review. Warranty, liability, indemnity, governing-law, venue, and dispute provisions especially must be reviewed before launch.
“Praxday” refers to the product and the person or organization that operates the website. The formal legal operator or contracting entity name will be confirmed before launch and may be updated here after legal review. These Terms do not invent a corporation name.
2. Scope and eligibility
These Terms govern:
- Use of the Praxday marketing website
- Beta waitlist submission
- Early-access or product-development communications related to that waitlist
- Preview materials displayed on the website
The website does not currently provide paid subscriptions, website user accounts, or billing. App Store–specific terms for a published mobile application are outside the scope of this draft and may be added later when needed.
You should only use the website and waitlist if you can form a binding agreement under the laws that apply to you.
3. Beta waitlist
Joining the waitlist expresses interest in Praxday beta access and related product updates. It does not:
- Create a paid subscription
- Guarantee invitation or immediate access
- Guarantee a launch date, feature set, or capacity
Praxday may offer, limit, pause, or end beta access as development continues. Communications are based on the consent described in the Privacy Policy and on the waitlist form.
4. Acceptable use
You agree not to:
- Use the website for unlawful purposes
- Attempt to bypass or interfere with security controls
- Use automated systems to spam or abuse the waitlist or other site functions
- Submit malicious, deceptive, or harmful content
- Interfere with the website’s normal operation
- Submit confidential, sensitive, or unlawful third-party information through the waitlist form
- Copy, scrape, or misuse website content beyond ordinary personal viewing and other uses permitted by law
5. Intellectual property
Praxday branding, original website copy, design, and product preview materials are owned by Praxday or its licensors, subject to applicable rights. You may view the website for personal, non-commercial information purposes.
These Terms do not claim ownership of public-source facts, third-party trademarks or logos that may appear in illustrative content, or information you already own. Submitting the waitlist form does not transfer ownership of your separate intellectual property to Praxday, except as described below for voluntary feedback.
6. Feedback
You may voluntarily share product feedback with Praxday. Praxday may use that feedback to improve the product and related materials. Please do not include confidential information in feedback.
Providing feedback does not create a right to compensation, credit, or ownership unless Praxday agrees otherwise in writing. These Terms do not demand ownership of unrelated intellectual property you did not choose to share.
7. Informational content
Website and product-preview content is for general informational and educational purposes. It may be incomplete, experimental, or changed without notice. It is not legal, medical, financial, compliance, employment, or other professional advice.
If you try ideas, prompts, or workflows at work, you remain responsible for adapting them to your organization’s policies, tools, data rules, and review requirements.
8. Third-party tools and sources
Praxday may refer to public sources, third-party AI tools, or external websites and services. Praxday does not control third-party terms, security, privacy practices, or availability.
You remain responsible for complying with your employer’s policies, applicable confidentiality rules, third-party terms, and applicable law when using external tools or information.
9. Beta and future services
Praxday is under active development. Features, designs, content formats, and availability may change. Access may be limited, suspended, or discontinued.
Personalized email digest delivery is planned but not currently active. Additional platforms remain possible later and are not confirmed. No service level, uptime guarantee, or promise of uninterrupted availability applies to the marketing website or early beta at this stage.
10. Disclaimers and liability (for lawyer review)
The marketing website and waitlist are provided on an early-stage, as-available basis. Errors, delays, or interruptions may occur. To the fullest extent permitted by applicable law, Praxday disclaims warranties that are not expressly stated in a separate written agreement.
You remain responsible for your own workplace decisions and for how you use AI tools and information.
Lawyer-review flag: all warranty exclusions, liability limitations, indemnity language, and similar provisions must be reviewed and revised by counsel before public launch. This draft intentionally avoids extreme, unreviewed boilerplate.
11. Governing law (for lawyer review)
Draft placeholder: these Terms are intended to be governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law rules that would require another jurisdiction’s law. Venue and dispute-resolution details require counsel review.
This section assumes Praxday’s current Ontario, Canada orientation. It will be updated once the legal operator entity is confirmed. Do not treat this clause as final.
12. Changes
Praxday may update these Terms as the website, waitlist, product, or legal requirements change. When updates are published, the “Last updated” date will be revised.
